13D vs 13G — what's the difference?
13D = "I own 5%+ and I intend to shake things up" — must publicly state plans (Item 4).
13G = "I own 5%+ but I'm just passing through" — passive holding, no control agenda.

Why it matters here: a 13D is inherently a stronger signal than a 13G, a 13G→13D switch (a quiet holder turning activist) is the strongest event on this radar, and Item 4 is the only public text where an institution states its plans in its own words — that's the "stated intent" column.
